These Evaluation Terms (“Terms”) govern access to and use of the AresNet prototype, demonstrations, and related collateral (collectively, the “Materials”) made available by OFFSET3, LLC (“OFFSET3,” “we,” or “us”) for limited evaluation purposes only. By requesting or accessing the Materials, you agree to these Terms.

1) Applicability and definitions

You means the individual requester and, if applicable, the organization you represent.

Materials include concepts, architectures, designs, documents, slide decks, white papers, data, images, videos, software, code, configurations, environments, and the AresNet name/marks.

Evaluation means internal review, testing, or assessment solely to decide whether to explore a pilot, procurement, or partnership with OFFSET3.

2) Ownership and intellectual property

The Materials are and remain the confidential and proprietary property of OFFSET3.

No assignment, transfer, or license of intellectual property rights is granted or implied beyond the limited, revocable evaluation permission below.

Trademarks, names, and marks (including AresNet) remain the property of OFFSET3 and may not be used without written permission.

3) Limited permission to use (evaluation only)

Subject to these Terms, OFFSET3 grants you a non-exclusive, non-transferable, revocable permission to access and use the Materials solely for Evaluation. You must not:

  • Deploy the Materials in production or for any operational decision-making.
  • Modify, copy (except as reasonably necessary for internal evaluation), create derivative works, or integrate the Materials into other systems.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code or models.
  • Remove, alter, or obscure proprietary notices.
  • Distribute, publish, or disclose the Materials to any third party without written permission.

4) Nondisclosure and handling

You will protect the Materials with at least the same degree of care you use for your own confidential information (and no less than reasonable care). Without OFFSET3’s prior written permission, you will not disclose, distribute, publish, or provide access to any third party, including affiliates and contractors, other than personnel with a need-to-know for Evaluation who are bound by obligations no less protective than these Terms.

If you are required by law to disclose any Materials, you will give OFFSET3 prompt written notice (unless legally prohibited) to allow us to seek protective treatment.

5) Government recipients

For U.S. Government or federally funded recipients, the Materials are provided as proprietary commercial information for evaluation only and not as deliverables under any contract. You will restrict use and disclosure within the Government to those having a need-to-know for evaluation, and you will not disclose outside the Government without OFFSET3’s written permission. Nothing herein grants the Government rights beyond evaluation and internal review.

6) Security and access

You will use reasonable administrative, technical, and physical safeguards appropriate to the sensitivity of the Materials. Credentials, links, or keys we issue are personal and non-transferable. You will notify OFFSET3 immediately of any suspected loss, breach, or misuse.

7) Feedback

If you provide ideas, comments, bug reports, or other feedback, you grant OFFSET3 a worldwide, perpetual, irrevocable, royalty-free license to use that feedback to improve products and services without attribution or compensation. You will not provide feedback that includes third-party confidential information or personal data you lack authority to share.

8) No warranties; evaluation risk

The Materials are provided “AS IS” for evaluation only. OFFSET3 disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You bear all risk from evaluation use and agree the Materials are not designed for operational, safety-critical, or mission use.

9) Limitation of liability

To the maximum extent permitted by law, in no event will OFFSET3 be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of data, or business interruption, arising from or relating to the Materials or these Terms. OFFSET3’s total aggregate liability will not exceed $100. Some jurisdictions do not allow certain limitations; those limitations apply to the fullest extent permitted.

10) Export, compliance, and ethics

You will comply with all applicable laws, including U.S. export control and sanctions laws. You will not use the Materials for unlawful, discriminatory, or unethical purposes.

11) Term, termination, and return/destruction

These Terms apply from the time you access the Materials until the earlier of: (a) termination by either party on notice, or (b) OFFSET3’s publication of the applicable Materials. Upon termination or our request, you will promptly stop using the Materials and return or destroy all copies (including notes and derivatives) and, upon request, certify destruction in writing.

12) Injunctive relief

You acknowledge that unauthorized use or disclosure of the Materials may cause irreparable harm for which monetary damages are inadequate, and equitable relief (including injunction) may be sought in addition to other remedies.

13) Miscellaneous

These Terms constitute the entire understanding for evaluation access and supersede prior or contemporaneous communications on that topic.

If any term is held unenforceable, it will be modified to the minimum extent necessary; the remainder stays in effect.

You may not assign these Terms without OFFSET3’s written consent.

Governing law and forum. These Terms are governed by the laws of the state where OFFSET3 is organized, without regard to conflicts rules, and disputes will be heard in that state’s state or federal courts, except to the extent superseded by U.S. federal law.

Nothing here creates an obligation to enter a commercial agreement.
